WHAT YOU NEED AND WHAT IS THE PROCEDURE FOR

We are offering you the purchase of “dormant companies” (limited liability companies) in the Republic of Slovenia. This are already established companies that do or do not yet operate. The decision for an operating or non-operating company depends on on your wants and needs.

By purchasing such an already established company, you save a lot of time and troubles, since after you provide us with all the necessary data and authorizations, we find the seller of the company, conclude a contract with him on the purchase of the company and arrange a change of ownership with AJPES. Such a company is already registered and you can start conducting business the following day after the purchase. You do not need to wait for the registration at the court. Such a company already has a bank account opened and you can immediately start conducting banking transactions and you also avoid a possible refusal to open a bank account by the bank.

DOCUMENTS AND INFORMATION REQUIRED FOR THE PURCHASE OF A REGISTERED COMPANY

1. Extract from the Companies Register in the country of origin and a photocopy of the passport of the legal representative (of the founders, who are legal entities)

In order to identify the owners of a limited liability company in the Republic of Slovenia – foreign legal entities, we require an extract from a court or commercial or other register, in which companies in your country of origin are registered.

2. Photocopy of the passport (of the founders, who are natural persons)

To identify owners of a limited liability company in the Republic of Slovenia – foreign natural persons, we require the photocopies of your valid passports, showing your photographs and personal data.

3. Tax number, registration number of the legal representative (of the founders, who are legal entities)

If you have a personal tax number for the legal representatives in your, please forward them to us. If you have a registration number or any other number for the legal representatives in your country, with which you identify yourself and which is not a tax number, please also forward it to us.

4. Tax number, registration number (of the founders, who are natural persons)

If you have a personal tax number in your country of origin, please forward it to us. If you have a “registration number” or any other number in your country, with which you identify yourself and which is not a tax number, please forward it to us.

5. The name and the activity of your new company

We need from you the name for your new company and the abbreviated name. We will compare your proposals with the already registered company names in the Republic of Slovenia. If they do not already exist and they comply with certain rules on the choice of names (Articles 12 to 28 of the Companies Act ZGD-1), we will name the company according to your proposal. Otherwise, we will try to find an alternative solution that best suits your wishes and needs, later on, you may also change the name of the company. We also need the activity of the company (the EU has a Standard Classification of Activities, which was also adopted by the Republic of Slovenia; the Articles of Association include the activities the company will mainly engage in; the activities of the company listed in the Articles of Association may later be supplemented or expanded).

6. Authorization

The authorization by which you authorize us to establish or purchase a company on your behalves.

2. Obtaining a Slovenian tax number for the owner

Every founder of a company in the Republic of Slovenia needs to obtain a Slovenian tax number before establishing the company. A Slovenian tax number is issued by the Slovenian Tax Authority (FURS). We obtain a tax number on your behalf, so you do not have to deal with the demanding bureaucratic procedures.

3. The company's head office

Every company in Slovenia requires a head office – an address. The court must be provided with a certified consent from the owner of the real estate where the company’s head office is located. The temporary head office of the company is arranged by us and we also obtain the consent of the owner of the real estate where the head office is located. After the establishment of the company, you can move your company's head office to another location within the Republic of Slovenia.

4. Start of operation

If you are required to provide additional permits or certificates for the operation of your company due to its activities, we will provide them for you. It is also important to know that if the annual turnover of your company is less than EUR 50,000.00, you do not need an ID Number for Value Added Tax. However, if the annual turnover of your company exceeds EUR 50,000.00, you will need to obtain an ID Number for Value Added Tax.
